Luxxe Affiliate Program Agreement

This Affiliate Program Agreement (“Agreement”) is entered into by and between Luxxe, Inc. (“Luxxe,” “we,” “our,” or “us”) and you, the participating affiliate (“Affiliate” or “you”). By enrolling in the Luxxe Affiliate
Program, you agree to the following terms and conditions:

1. Enrollment & Acceptance
1.1 Enrollment is subject to review and approval by Luxxe. We reserve the right to accept or reject any application at our sole discretion.
1.2 By enrolling, Affiliate affirms they are at least 18 years old and legally able to enter into binding contracts.

2. Commission & Payment
2.1 Commission Rate: Affiliate will earn the percentage rate specified in their individual Affiliate Portal or Agreement Addendum, which may vary depending on campaign type.
– Standard Affiliates (organic participation with no paid collaboration) typically earn 5 – 10% of Net Sales.
– Sponsored Collaborations (where a flat promotional fee, product feature payment, or other paid compensation has been provided) typically earn 3 – 5% of Net Sales.
Luxxe reserves the right to determine and assign the applicable tier at its discretion, ensuring all Affiliates are treated equitably under the overall program structure.
2.2 Attribution Window: Commissions apply to purchases made within a 30-day cookie window, subject to last-click attribution.
2.3 Trial & Returns: Commissions become payable only after Luxxe’s refund/return window (60 days) has expired. Returned or refunded orders will not earn commissions.
2.4 Payment Schedule: Payouts are issued monthly, provided Affiliate has earned at least $100 in commissions. Balances roll over until the threshold is met.
2.5 Clawbacks: Luxxe reserves the right to offset or recover commissions paid on refunded or disputed orders.

All existing provisions (Affiliate Obligations, Brand Standards, Usage & Safety, Customer Assurance, Term & Termination, IP, Confidentiality, Liability, Indemnification, Amendments, Governing Law) remain in full force.

14. Affiliate Tiers
Luxxe’s Affiliate Program includes multiple participation levels based on the nature of each collaboration:
– Standard Tier (5 – 10%) – Unpaid partnerships compensated solely through commission.
– Sponsored Tier (3 – 5%) – Collaborations that include an upfront promotional fee, product feature payment, or other flat compensation.
– Ambassador / Professional Tier (variable) – Strategic or recurring partnerships with defined pools or incentives as outlined in separate written agreements.
Tier assignments are made at Luxxe’s discretion and may be updated in writing or via the Affiliate Portal. Luxxe strives to apply its tier structure consistently so that all affiliates are treated equitably within their respective category.

Acceptance
By enrolling in the Luxxe Affiliate Program, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
